1. Acceptance of Terms

By accessing and using the services provided by rudeabwmg B.V. (registration number 39284751), including our website rudeabwmg.life and software development services, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any part of these terms, you may not access or use our services. These terms constitute a legally binding agreement between you and rudeabwmg B.V.

2. Services Description

rudeabwmg provides professional software development services including but not limited to:

• Custom software development and programming
• Web application development and design
• Mobile application development
• Technology consulting and advisory services
• Software maintenance and support services

3. User Obligations

When using our services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in accordance with these terms
• Not interfere with or disrupt our services or servers
• Respect the intellectual property rights of rudeabwmg and third parties
• Maintain the confidentiality of any login credentials or access information
• Comply with all applicable local, national, and international laws

You are responsible for all activities that occur under your account and for ensuring that your use of our services complies with these terms.

4. Intellectual Property

All intellectual property rights in our services, including but not limited to software, designs, text, graphics, logos, and other content, are owned by rudeabwmg B.V. or our licensors. These rights are protected by copyright, trademark, and other intellectual property laws.

Unless otherwise specified in a separate written agreement, any custom software or solutions developed by rudeabwmg for clients shall be governed by the specific terms outlined in the project contract or statement of work.

You may not reproduce, distribute, modify, or create derivative works of our proprietary content without our express written permission.

5. Payment Terms

Payment terms for our services are specified in individual project agreements or invoices. Unless otherwise agreed:

• Invoices are payable within 30 days of the invoice date
• All prices are quoted in Euros (EUR) and exclude VAT unless stated otherwise
• Late payments may incur interest charges as permitted by Dutch law
• We reserve the right to suspend services for overdue accounts

Any disputes regarding invoices must be raised within 30 days of the invoice date.

6. Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access to our services. Our business hours are Monday through Friday, 9:00 AM to 6:00 PM Central European Time.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where possible.

7. Confidentiality

rudeabwmg recognizes the confidential nature of information shared during the course of providing services. We implement appropriate measures to protect client confidential information and will not disclose such information to third parties without authorization, except as required by law.

This confidentiality obligation survives the termination of our service relationship and continues indefinitely unless the information becomes publicly available through no fault of rudeabwmg.

8. Limitation of Liability

To the maximum extent permitted by Dutch law, rudeabwmg B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or relating to your use of our services.

Our total liability for any claims arising from or relating to these terms or our services shall not exceed the amount paid by you to rudeabwmg in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless rudeabwmg B.V., its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use of our services, violation of these terms, or infringement of any third-party rights.

10. Termination

Either party may terminate the service relationship at any time with reasonable notice. rudeabwmg reserves the right to immediately terminate or suspend your access to our services if you breach these terms or engage in conduct that we determine to be harmful to our business or other users.

Upon termination, your right to use our services ceases immediately, and we may delete your account and data. Provisions of these terms that by their nature should survive termination shall continue in effect.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these terms by reference.

By using our services, you consent to the collection and use of your information as described in our Privacy Policy and in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Tilburg, Netherlands.

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

13. Force Majeure

rudeabwmg shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, disasters, strikes, or internet service provider failures.

14. Modifications to Terms

rudeabwmg reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date.

Your continued use of our services after any modifications constitutes acceptance of the updated terms. If you do not agree to the modified terms, you should discontinue use of our services.
